Legal levers

Amazon Services Europe S.à r.l. (Luxembourg) is subject to P2B Regulation 2019/1150 - one of the most seller-friendly EU rules, with hard reasoning and notice obligations.

30-day prior notice

Amazon must give 30 days' written reasoned notice before any full termination. Immediate suspensions are only allowed for acute breaches - otherwise formally unlawful.

Internal complaint system

Amazon must operate a free complaint system with individualised handling and reasoning. Generic responses don't satisfy that.

DSA Art. 17

Statement of Reasons

On top of the P2B Regulation, the DSA applies since 2024. Amazon must give concrete facts, clause and appeal route. Generic 'Inauthentic' allegations don't suffice.

§ 280 BGB

Damages for funds hold

An unlawful 90-day hold triggers default-interest plus consequential damages (lost profits, liquidity damages). Amazon is fully liable under § 280 BGB.

Mediation

P2B disputes go before a mediator. Amazon must designate one and co-fund the procedure - itself a lever to accelerate out-of-court settlements.

B2B sellers sue at the place of contract performance - for German sellers often at their seat. Amazon's US clauses are also limited in B2B enforceability.
